Board Members

Board members are elected in January and serve 1 year terms. The Board may fill any vacancy by majority vote of the Board.

Executive Committee

The Executive Committee meets during the months when we do not have our General Meetings, 7:00 – 8:30 pm, at Vermont Hills United Methodist Church. The Executive Committee consists of board officers and chairs of standing and ad hoc subcommittees – Land Use, SWNI Liaison, Parks, Equity/Inclusion, Transportation, Safety, and Communications. Contact the Chairperson to confirm meeting time and location.

Duties of Members of the Board

Chairperson:

The Chairperson shall prepare the agenda and preside at all meetings of the Board and membership; shall appoint members of the various committees with approval of a majority of the Board. He or she shall be the Chief Executive Officer of the HNA, and subject to the Board shall be responsible for the general supervision and control of the business of the HNA. He/she shall be an ex-officio member of all standing committees, and may appoint special committees as needed.

Vice-Chairperson:

In the absence of or disability of the Chairperson, the Vice-Chairperson shall perform all the duties of the Chairperson, and when so acting shall have all the powers of and be subject to all restrictions on the Chairperson. The Vice-Chairperson shall have such other powers and perform such other duties as from time to time may be prescribed by the Board. The Vice-Chairperson shall be in charge of meeting places and serve as host/hostess. The Vice-Chairperson shall succeed to the position of Chairperson according to the normal voting process.

Secretary/Treasurer:

The Secretary shall keep minutes of the proceedings of all meetings and an up-to-date roster of the members of HNA. S/he shall supervise all correspondence of the HNA and have such other duties as may be prescribed by the Board. As Treasurer, this person shall keep or maintain accurate and correct accounts of the business transactions of the HNA including accounts of its assets, liabilities, receipts and disbursements.

SWNI Representative:

The SWNI Representative shall represent the interests and concerns of HNA on the Board of Directors of and shall report regularly to the HNA Board.

Directors at Large (4):

Each Director at Large shall chair one of the HNA Standing Committees and shall represent the HNA on that same Committee at SWNI. When standing for election, each Director at Large shall designate which Committee s/he seeks to chair. A Director at Large shall recruit members for his/her committee and recommend such recruits for approval by the Board and also perform such other duties as may from time to time be assigned by the Chairperson.

Public Safety

Shall study public safety issues, make recommendations to the Board and develop/conduct at least one HNA public safety oriented meeting or event each calendar year.

Parks

Shall encourage and coordinate neighborhood wide environmental, sustainability, and livability programs and review the need for and advocate for creation of appropriate parks, community centers and recreational facilities and monitor use of such facilities and make recommendations to the Board and develop/conduct at least one HNA environmental/livability meeting or event each calendar year.

Land Use

Shall study zoning, building codes, growth and other related issues as well as applications for zone changes and variances within the HNA, make recommendations to the Board and develop/conduct at least one Land Use meeting or event each calendar year.

Transportation

Shall coordinate citizen participation in matters of streets, bus and rail service, bike and foot paths and other modes of transportation, make recommendations to the Board and develop/conduct at least one Transportation meeting or event each calendar year.
